In a complex and dynamic business environment like ours, our legal function plays a critical role in safeguarding our interests and ensuring compliance with applicable laws and regulations. As a Corporate Securities Counsel/General Legal Counsel – Senior Corporate in trivago, you'll get the chance to contribute your own ideas, shape global processes, and handle a wide range of legal affairs for a major international company while working in a dynamic environment.
How you'll make an impact:
• Counsel business leaders and the broader organization on commercial and regulatory issues including corporate matters, securities laws, and financial regulations
• Negotiate a wide range of contracts, from NDAs to acquisition agreements and everything in between
• Counsel on special projects including high-value strategic partnerships and commercial transactions
• Provide legal support on the execution of M&A, capital markets, and/or financing transactions
• Advise the company on corporate governance matters including compliance with listing standards
• Manage legal due diligence, interface with outside counsel including managing a legal budget
• Draft and review public company disclosures like annual reports and materials for the annual general meeting of shareholders
What you'll need to thrive:
• At least 4+ years' experience within an international law firm
• 2. German State Exam in Law – completed with excellent results, or admission to practice in the United States (any state) or an EU jurisdiction
• Interest in being a generalist. In this role, you will take on projects relating to a wide variety of important legal matters
• Ability to manage projects independently and negotiate related agreements
• Fluency in English language and outstanding communication skills for interacting with different stakeholders and conveying legal facts clearly and simply
• An excellent understanding of commercial legal practices and a keen interest in how businesses operate
• Motivation and a passion for law mixed with a pragmatic work style and eagerness to progress
• Hands-on mentality coupled with the ability to work well in a team
• Experience in managing transactions
• Knowledge of U.S. securities laws and SEC reporting
