The candidate will be a mature corporate and commercial lawyer, with 5-10 years of post-qualification experience. Preferably the candidate will have several years of experience in private practice in Saudi Arabia (or regionally) with a reputable commercial law firm and have at least 1-2 years of experience working within an in-house legal function. The candidate must be comfortable working in English and Arabic.
The role will closely support the MD and client in all aspects of delivering legal services, both in terms of corporate housekeeping, advising on all elements of its maritime concessions in the Kingdom and helping manage regulators and key stakeholders. He/she must possess excellent technical legal skills, be able to work independently and have confidence in stakeholder negotiation and the analysis of complex documentation in a collegiate environment where the ability to work under pressure with a high level of energy and empathy is very important.
PRIMARY DUTIES AND RESPONSIBILITIES
- Assists the MD (as line manager) and (as functional head) with all aspects of delivering and managing legal services for the Board of Directors and a number of third party stakeholders. This includes helping in managing the company secretarial work and compliance management across the clients current and future business.
- Drafts, reviews, modifies and negotiates all contracts or any other documentation where has committed itself to assist and support various business activities and assess the legal implications that needs to be brought to the attention of the client
- Supports the preparation of lawsuits for cases, as plaintiff or defendant – on behalf of client.
- Consults and coordinates with external lawyers on legal matters of client
- Provides advice and assistance to the functional departments regarding legal issues.
- Assists in legal translations from Arabic to English or vice versa.
- Ensures compliance with all applicable rules, laws and regulations in all functional areas within the clients operations
JOB DESCRIPTION
- Follows up to ensure that all Corporate legal documents are in compliance with clients and all federal requirements.
- Drafts constitutional documents (including any amendments), minutes of meeting and resolutions and prepares information packs for Executive Board meetings, as required.
- Ensures that all customer contracts with shipping lines, consignees, freight forwarders and suppliers are in compliance with laws, regulations and clients policies.
- Performs other incidental and ancillary tasks and duties as may be requested by the MD and CEO
