Corporate M&A Lawyer 

Owing to consistently strong deal flow, Ryan is now seeking a Corporate M&A lawyer with 7 years+ experience. The focus of the role will be running transactions from start to finish, in the professional services industry, working closely with and helping to co-ordinate, deal teams, internal stakeholders and external counsel.


You will be a qualified lawyer ideally with a minimum of 7 years post qualification experience, with strong multi-jurisdictional M&A experience. It is important that you are pro-active and comfortable in developing relationships with stakeholders including senior leadership and corporate development teams.

You may be based in London or Europe and will report to Associate GC EAP with a dotted line to Vice President Deputy General Counsel. 

Responsibilities:

  • Advising on acquisitions, joint ventures, divestitures or other M&A transactions
  • Draft review and negotiate a wide variety of transaction documents and corporate contracts including non-disclosure agreements, letters of intent, term sheets, share purchase agreements, schedules and related transaction documents such as offering memoranda, shareholders agreements, and joint venture agreements.
  • Providing guidance and support on various corporate policies and corporate governance matters.
  • Manage and analyze due diligence for acquisitions and advise internal stakeholders of risks
  • Prepare closing checklists and certificates and manage closings for acquisitions and other corporate transactions
  • Ensure compliance with relevant securities laws in the relevant practice area, particularly related to equity matters
  • Assist and advise on matters of corporate governance and organizational structure for Ryan’s affiliated corporations and limited liability companies
  • Manage entity formation, corporate organization charts and ongoing entity reporting and maintenance to ensure all entities are properly formed and remain in good standing
  • Monitor adherence to corporate formalities and entity operations by and between entities
  • Provide clear, succinct, and actionable written advice to key executive stakeholders that reflects full understanding of the pertinent issues
  • Work as a member of the legal team and support other work streams as necessary and required

Experience

You will have experience of

  • Cross Border M&A -  private company acquisitions
  • Commonly used acquisition structures (share purchase/asset purchase)
  • Understanding of financial structures of acquisition and impact of tax on choice of acquisition structure
  • International experience

Minimum Qualifications:

  • Good academic credentials and post-qualification experience.
  • 7+ years of substantive M&A experience
  • In-house legal experience is preferred (directly, or as a secondee) but is not essential.
  • Strong commercial understanding, and excellent interpersonal skills.
  • Languages: English essential.  French and or Spanish an advantage.
