A leading multinational is looking to appoint a Head of Legal & Compliance for their Group Mining division, to be based in London with some international travel required. The business is looking for an experienced generalist lawyer to provide a broad range of high-quality legal services.
Reporting to the Group General Counsel you will be part of the Group Legal and Compliance functions that encompasses over 40 lawyers, paralegals and assistants. You will also work with the CEO of the operating company and with the Group Compliance Officer on compliance-related matters as well as providing key advice to the Mining Executive Team on highly sensitive and strategic matters.
Alongside mining-specific corporate, contract and compliance work, you will:
- Provide legal support in connection with day-to-day business and operational activities. This includes but is not limited to: providing general legal advice; reviewing and drafting documents, correspondence and communication scripts; supporting the negotiation of contractual commitments, settlement agreements, MoUs, NDAs; advise/review local tax and HR issues, including audits; legal support to the Procurement function.
- Protect and defend business interests in dispute resolution scenarios
- Attend internal and external meetings with internal and external stakeholders (including, among others, suppliers, governmental authorities and business partners) and, where appropriate, assist directly in negotiation with third parties.
- Retain, manage, monitor and report on external law firms and related costs in line with the business needs.
- Stay up-to-date on regulatory and legal changes.
- Collaborate with other Legal, Compliance and Company Secretary team members and exchange regularly on best practices.
- Identify, develop and deliver legal trainings to the business and Legal team members as necessary.
- Review board packs/CoSec work prepared by local counsel for the operating company (4x per year) and coordinate the preparation of board meetings/AGMs/EGMs for the concessionaire in Cyprus (normally held once a year).
You will need to be a minimum of 10-15 PQE and have trained at an international law firm and possess some in-house experience on secondment or in a position at a multinational. Ideally, you will have some experience working within the heavy industries including but not limited to engineering, manufacturing, energy or construction.
The position requires a strong experience in various areas of business law, in particular: contract law, corporate law and M&A. Experience in infrastructure projects, financing arrangements, construction contracts and the procurement function in general would be highly regarded. The role is uniquely characterized with high levels of responsibility and autonomy.
