Job Details
Our client, the family office of a significant ultra-high net-worth family, manages a large and diverse investment portfolio across private assets and publicaly-traded instruments as well as servicing the personal financing and administrative requirements of the family members.
Growth of the portfolio has led to a vacancy for a Legal Counsel to sit alongside their (presently) sole counsel, with a common reporting line to the COO, entering at the same level as the existing lawyer and enjoying the same broad-based coverage with work flowing down from the COO and Head of Office such that the more interesting transactions are spread equally between the two lawyers.
Working closely with the COO, a prominent former tax accountant with a wealth management background, who has known and worked with the family for many years, you will take on a broad-based role covering any and all matters arising out of the investment portfolio, with a particular emphasis on the private side business covering private shareholding matters, private equity investments, corporate structure real estate investments and alternatives as well as the launch of funds, often as joint venture vehicles or internal accounting or tax efficient vehicles. Additionally, you will advise on third party fund investments, typically on the public instruments side, on trading matters, on-boarding onto third party platforms such as custodian bank account opening, ISDA master sign-up, broker and prime broker terms etc and negotiate documentation ranging all the way from a simple NDA all the way to complex arrangements around secure transfer on loan of artworks for display in international galleries.
The successful candidate will be a corporate lawyer with a transactional background who can take on the range of shareholder agreements, M&A, PE, VC, real estate PE and joint venture co-investment work whilst coming up a learning curve on fund launches, which, whilst a feature of the position, are typically relatively straightforward structures not requiring prior experience. This said, funds lawyers with some broader secondary transactions experience will be considered. Experience from a significant City firm is welcomed, as it experience from prominent UK firms offering quality, high responsibility transactional work to Senior Associates. Cross-border experience is preferred.
