The Role

We are looking for an experienced contracts manager to advise on a variety of legal and compliance matters for our clients international businesses. In particular, you will review, draft and negotiate agreements, provide general legal guidance and assist members of the clients International Legal Team on a broad range of projects.

You are someone who understands business and legal issues, enjoys the intellectual challenges of providing succinct counsel regarding complex commercial and legal matters, and consistently strives for excellence. You are adept at identifying potential legal issues and managing the problem-solving and implementation processes with other areas of the company, including business, technical and finance colleagues. While a command of the law is essential, the company expects you to provide advice based on a nuanced understanding of its business and its products as well as personnel and industry, and to devise the best solution for a problem - not simply the best “legal" solution.

Reports to: Senior Legal Director, International
 

Responsibilities:

  • Draft, review and negotiate commercial agreements and/or amendments to existing agreements. These will include, amongst others, agreements related to technology platforms, enterprise software licensing, consulting and professional services, and product development for television, internet, and mobile products and services, interacting with in-house and outside counsel, as appropriate.
  • Perform legal research when and as necessary to resolve legal issues and determine the appropriate course of action regarding a particular issue/case.
  • Act as initial point of contact for internal teams concerning legal issues and interpretation of contracts.
  • Coordinate legal functions with other departments affected by the matter/issue.
  • Work closely with account managers, engineers and product teams to understand the clients products and services as well as the legal issues arising due to the nature or function of those products.
  • Provide continuous counsel and guidance on legal matters and on legal implications of matters.
  • Communicate new and/or modified contract terms for new and existing products, to all affected internal teams (i.e. operations, sales, finance, audit, customer support and/or data management) for their incorporation into and/or adaptation of their departmental processes.
  • Manage projects as assigned.
  • Work to establish processes that will create efficiencies.
  • Create, update, and preserve important corporate records.
  • Draft legal documents of some complexity.
  • Consistent exercise of independent judgment and discretion in matters of significance.
  • Regular, consistent, and punctual attendance. Must be able to work nights and weekends, and variable schedule(s) as necessary.
  • Other duties and responsibilities as assigned.
     

Minimum Qualifications:

  • Undergraduate degree from accredited institution.
  • At least 4 years experience negotiating commercial transactions and counseling clients, ideally in the areas of advertising, technology, and software licensing and development.
  • Self-starter, who will proactively issue spot and seek resolution, work independently (with appropriate supervision), as well as work cooperatively with small teams as the circumstances may require.
  • Excellent critical thinking and problem-solving skills
  • Knowledge of advertising and the ad tech ecosystem preferred.
  • Knowledge of data and privacy laws and best practices preferred.
  • Ability to identify matters requiring escalation to senior members of the legal team, manage multiple projects, and meet deadlines with consistently high-quality work product.
  • Ability to support a fast-paced entrepreneurial business.
  • Comfortable working across multiple practice groups, gathering feedback and spotting issues outside primary area of responsibility.
