The Investments Legal team is looking to recruit a Senior Legal Counsel, to cover for the newly appointed Senior Legal Counsel who is on maternity leave (c. 9 months). This team provides high quality strategic, commercial and legal advice to the investments team in relation to Wellcome's investment portfolio, which includes hedge funds, venture capital funds, private equity funds and related co-investments (direct and through pooled vehicles) and other areas of Wellcome.

You will:

  • Act as internal adviser for the investments team, using legal expertise as an integral part of the Investments team to address commercial, strategic and legal issues that arise in the course of the investment team's activities, and help to find optimal solutions.

  • Take account of the investment team's risk appetite, governance and operating procedures, while also ensuring that Wellcome's organisational risk appetite and governance requirements are considered and reflected.

  • Act as Legal Business Partner for the investments team delivering high quality, strategic and innovative legal support to meet the team's needs.

  • Support transaction execution across a broad multi-asset portfolio, adapting existing skills to meet the requirements of new areas where needed.

  • Draft, review and negotiate legal documents and assist with project management. Examples of investments and work-streams include pooled funds (private equity, venture and hedge funds), direct private investments (via co-investment vehicles or otherwise), direct property holdings, forming joint ventures or other partnerships, derivatives, dealing in public securities (directly or via investment managers), custody arrangements and bond issuance.

  • Assist with the support given by the Investments Legal team to the investments team in reviewing its governance framework and operating procedures to meet business needs and deliver robust governance and operations.

  • Develop a close partnership with a range of internal teams including tax, finance, operations and risk and performance.

  • Co-ordinate external advisers, where appropriate, to ensure that Wellcome obtains high quality, value-for-money advice, properly tailored to its policies, legal status and situation.

  • Horizon-scan the policy and legal landscape and provide strategic counsel to the investments team on emerging legislative developments and market trends.

  • Act as the Legal Team's expert in particular fields, and openly share knowledge with the Legal Team. Actively participate in Legal Team meetings and projects, and maintain good communication and relationships with the Legal Team generally

Skills and Experience:

  • Qualified as a UK solicitor or barrister, with significant post qualification experience.

  • Experience of working in legal practice likely including in-house experience.

  • Broad experience of commercial and corporate law likely including experience of investment products and funds.

  • Experience of working for a multi-asset investor is desirable.

  • Experience of the laws of other jurisdictions, particularly the US, and experience of charity law is desirable.

  • Experience of structuring to take account of tax, accounting, legal, commercial and operational requirements is desirable.
