Corporate Commercial Solicitor

An exciting opportunity for an assistant solicitor to join this highly reputed firm and undertake a mixed caseload of both commercial and corporate matters.

The department acts for an impressive client base of companies, partnerships, sole-traders and start-ups.

You will support more senior members of the team on a varied caseload including

• Buying & Selling Businesses
• Shareholder and Partnership Agreements
• Terms of Business and sundry Commercial Agreements
• Company administration
• Contract drafting and negotiation (covering all types of contracts including Terms & Conditions of Sale/ Purchase; Supply/ Distribution/ Agency /Franchise agreements etc), 
• Share capital restructuring; 
• Business start-ups, 
• Assisting with disclosure and due diligence processes, reviewing corporate documents,
• Advising on the key transaction documentation for asset and share sale and purchase agreements for transactions of varying value levels.
• Undertaking corporate reorganisations, restructuring work, and putting in place documentation to reflect a range of business ownership structures, such as shareholders' agreements, LLP members' agreements and partnership agreements.
• Assisting on investment advisory mandates, negotiating shareholder agreements, share rights agreements, co-investment agreements, drafting, negotiating constitutional documents, and ancillary related documentation.

You will also be encouraged to take an active role in business development initiatives, attending networking events and raising the profile of the commercial offering more generally.

The successful candidate will have trained with a highly respected law firm, preferably a city or national law firm and have a strong academic background.
