Key responsibilities:
- Lead the corporate affairs support for Board and Board committees (for EMEA Securities and Bank subsidiaries as well as for international Securities committees) including, training, support for and coordination with directors and other committee members, prepare agendas and papers and prepare minutes, ensuring that all such papers are accurate and effective and produced within required time frames
- Perform the functions of assistant company secretary for applicable subsidiaries
- Ensure completion and submission of periodic and ad hoc filings with applicable corporate authorities in a timely and accurate manner
- Contribute to the maintenance of the corporate governance framework and corporate affairs operating model for the EMEA region (including procedures and documentation)
- Update and maintain constitutional documents and assist in corporate approvals and actions
- Contribute to the development and maintenance of an integrated and streamlined governance framework and process for policies for Bank and Securities
Skills and experience:
Essential:
- Qualified lawyer with corporate experience and deep familiarity with UK corporate governance practice. Experience of advising (or position held in) a financial services firm. 5 to 8 years PQE
- Strong drafting skills in board and committee papers, including minute taking and policies and procedures
