My client is an Open Source Tech Firm that provides Governance and Security to creative tech developers. They recently created an innovative cyber security focused open-source offering which has fast become globally recognised and has enabled them to raise £60 million from a global investment firm. The company is now in expansion mode, 60% staff growth predicted in 2019, where they need to hire the company's first Legal Counsel EMEA to assist on major transactions and assist the Head of Commercial (EMEA) on deals and business growth.
You will report to the General Counsel (US) and work alongside senior management to draft and negotiation significant M&A transactions on an end-to-end basis. As Legal Counsel (EMEA) your legal and pragmatic input will guide the Corporate Development Team on the execution of transactions in multiple jurisdictions i.e. EMEA and APAC. This position offers a varied workload of commercial transactions, including SLAs and NDA's, vendor agreements as well as marketing, business development and integration agreements. In some case you will advise the HR Team on UK/EU employment law matters and offer support with general corporate governance for company's global subsidiaries
For this role candidates will need to have a minimum of 3 yrs solid cross border M&A legal experience and excellent drafting and negotiation skills. Must be currently working for a leading City Law Firm with some secondment experience ideally gained within SaaS, Cloud, commercial contracts and knowledge of working in commerce (particularly within the Technology sector). Must be pragmatic and commercially astute with a task-oriented work ethic. Candidates must have the capacity to handle multiple tasks in a fast-paced environment without sacrificing quality on your delivery. Candidates will be able to work 3 days per week in London and 2 days remotely.
