The Expertise We’re Looking For

  • Qualified lawyer.

  • Experience of advising on fixed Income securities required.

  • Knowledge of EMIR, MiFID and MIFID II required.

  • Strong contract review and negotiation skills required.

  • Knowledge of derivatives and ISDA documentation preferred.

  • In-house financial services experience preferred.

  • Strong academic background.

  • Ideally, will have experience of U.S. “1940 Act” funds.

The Purpose of Your Role

 

The Skills You Bring

  • You will be a key member of a small legal team in London, working closely with Fidelity Investments’ wider operations in the United States.

  • In collaboration with other members of the legal team, you will work closely with compliance teams on various matters including: the implementation of EU and domestic legislation in the UK, governance, compliance policies and procedures and various investment compliance matters. 

  • You will liaise with legal teams in Boston and Hong Kong to advise on cross-border issues.

  • You will Support the Benefits Consulting (BC) business in the UK. You will review, negotiate and advise the BC business on regulated activities conducted in Europe and negotiate vendor and client contracts.

  • You will Prepare and present various regulatory and other updates at the UK Board and Management Committee meetings.  

  • You will have the opportunity to present regularly to senior executives, including providing training to board members on their statutory and regulatory responsibilities as directors of a UK regulated entity. 

  • In addition, you will arrange and attend periodic and ad-hoc meetings with individual board members.  You will also advise on general commercial legal contracts and answer ad-hoc legal queries.

  • You will also provide general legal support to the Finance and other support teams by reviewing and advising on various auditor letters/agreements, service level agreements and netting agreements. 

 

The Value You Deliver

  • Reviewing investment instruments to advise as to whether the security is debt or equity for legal/investment compliance purposes

  • Reviewing and negotiating documentation with brokers in various jurisdictions.

  • Providing legal support to the Global Equity Capital Markets desk by reviewing and negotiating investor representation letters and other investment documentation.

  • Reviewing terms of offering documents and advising the desk on various securities purchases and the existence of selling and ERISA restrictions.

  • Reviewing investment mandates and advising on investments in various instruments. 

  • Supporting the UK Global Foreign Exchange trading desk. 

  • Negotiating trading and intercompany agreements.

  • Actively participating in various trade association forums including those hosted by ISDA, the Institutional Investors Forum, the Investment Association, SIFMA and ICI Global to contribute to the buy-side and industry dialogue on regulatory matters affecting Fidelity Investments. 

How Your Work Impacts the Organization

As part of a small UK legal team, you will play an important role in advising senior leaders in London and the US head office about regulatory developments in the UK and Europe.  You will also have a highly visible role as a member of a larger global Legal function, with the opportunity to present on European legal issues.  Your role will be critical to the smooth running of Fidelity Investments’ operations in Europe, in support of Fidelity Investments’ US mutual funds and other clients.  You will work closely with a dynamic, highly skilled, and collaborative group of investment professionals in London.
