Our client is a global marketing outsourcing company that partners with leading consumer brands to execute successful marketing strategies globally.

They are looking for a talented lawyer with between 2 and 5 years of experience for their Legal Team. They are a small Legal Team which means lawyers get involved with everything that requires legal input within the business- making an interesting and varied role!

Candidates must be able to demonstrate extensive involvement in drafting a broad range of commercial contracts and a comprehensive awareness of potential issues and pitfalls. They must also have a good knowledge of Company Secretarial duties, including company filings and setting up and closing entities worldwide. Candidates must also be able to administer shareholdings and manage other corporate tasks ensuring our company dealings comply with all relevant laws and regulations while actively helping our company avoid possible legal risks and violations.

Responsibilities: 

Drafting, reviewing and negotiation of commercial agreements (client  marketing agreements, suppliers and supply chain outsourcing agreements, agency and distribution agreements, warehousing and logistics agreements and general B2B terms and conditions)

Reviewing and drafting/updating internal policies

Supporting wider legal activities and projects, ensuring compliance and identifying and sharing best practices.

Setting quality standards and striving for the continuous improvement of practices, processes, templates and tools.

Working closely with Europen, Asian and US teams as required.

Assisting with the registration of a UK establishment for an overseas entity

Managing the Company Secretarial portfolio using Blueprint and Blueprint OneWorld software

Companies House filings and maintaining statutory registers using Company Secretarial software

Involved in filings for annual returns – working closely with Finance

Preparing materials for and planning board meetings

Administering shareholdings - dealing with share transfers and allotments

Adhoc corporate duties as required by the business

Guide the business on regulatory and compliance issues to ensure compliance with legal regulations.

Requirements: 

Qualified lawyer eligible (i.e. holding a practising certificate or equivalent professional licence) to work as an in-house lawyer in the UK.

Strong commercial law experience gained in private practice and/ or in-house

Draft documents using a commercial, client focussed style

Excellent technical legal knowledge

Experience of leading complex/ high value commercial legal negotiations

Solutions-focused, flexible, can-do approach

Ability to work independently and collaboratively with business heads, department leaders and the wider workforce

Works co-operatively in a team, sharing information and knowledge

Excellent written and verbal communications skills

Excellent organisational skills

Provides a professional, quality service in a timely manner, and responds effectively to requests from clients

Other languages would be useful but are not essential
