Deputy Company Secretary – FTSE 100 – Bedfordshire

We are seeking a deputy company secretary on behalf of our client, a FTSE 100 business based in Bedfordshire. Together with the Company Secretary & Group General Counsel, the successful candidate will be the ‘in-house expert’ in matters of corporate governance and company law, be critical in enabling the Board and AMB to maximise their efficiency and performance in carrying out their duties and decision-making; and be responsible for ensuring the Company complies with company law and best practice corporate governance. 

You will organise, prepare agendas, coordinate, attend and minute Board, AMB and Board Committee meetings as well as providing governance and company law advice to the Company Secretary & Group General Counsel to ensure that the organisation has an appropriate governance framework in place to protect strategic, operational, reputational and financial risk. As well as providing advice and support regarding company law, policy and regulation as it relates to company secretarial and corporate governance matters, you will monitor and ensure Company, Group and Director compliance with the Companies Acts, LPDT Rules and Market Abuse Regulation and other applicable law.

We are looking for either a qualified Solicitor or a ICSA/ACIS qualified Company Secretary with proven experience in a Deputy Company Secretary role gained within a FTSE250 business. You will have great stakeholder management at the highest level (Chairman, Shareholders and NEDs), gravitas and emotional intelligence.
