Job Details


You will be the focal point for providing legal and compliance support and ensuring compliance with corporate legal and compliance strategy. Legal support working directly with cross functional teams (including HR, Finance, Marketing, Medical, Regulatory and Supply Chains), dealing with a wide variety of ad hoc queries and projects associated with operating a global pharmaceutical business (including distribution models and agreements, IP, competition law, market access, regulatory and compliance issues, appropriate marketing arrangements, clinical trial agreements). Assist the Head of Legal and Compliance in the day-to-day operations of the department so as to ensure that the business delivers on its business objectives. Supporting and mentoring junior members of the Legal and Compliance team.

ROLE ACCOUNTABILITIES:

Contract drafting and management:

  • Advise on, draft, review and negotiate a variety of agreements (including, but not limited to, CDAs and supply, manufacturing and distribution agreements, service, MSAs and Work Orders) and commercial terms relating to the company's business.
  • Ability to give advice, (orally and in writing), and to draft documents with clarity and precision.

Corporate secretarial and governance:

  • Assist in management of various corporate arrangements including establishing and managing various internal structures and arrangements.
  • Implementing appropriate corporate governance measures across the organisation including preparing Powers of Attorneys and letters of authorisations.
  • Assist in the set up and incorporation of new business entities and governance surrounding devolved local roles and responsibilities.

Intellectual Property:

  • Assist Head of Legal & Compliance with managing and maintaining the company's patents, trade marks, domain names and any other company IP.

Provide legal counsel:

  • Advise on full range of local and international legal issues in relation to the pharmaceutical sector, including company/commercial, antitrust/competition, distribution and pricing, litigation, data protection, IP, competition and employment, pharmaceutical, pricing etc.
  • Provide legal support for all business partners in General Management, Corporate Affairs, IT, Manufacturing, anti-corruption, Regulatory (including Bribery Act 2010 and FCPA), etc.
  • Assist with interpretation and adherence of federal and state laws including, but not limited to: Anti-Kickback Laws, Food, Drug & Cosmetic Act, False Claims Act, Price Reporting, Health Insurance Portability and Accountability Act, Park Doctrine, State Consumer Protection Laws, Product Liability Laws, Aggregate Spend Laws, and Antitrust Laws etc.
  • Undertake a range of contentious and or non-contentious work including giving advice, by telephone or in writing, attending meetings and the preparation of supporting documents.
  • Assist Head of Legal & Compliance to provide legal advice to business development in relation to strategic corporate acquisitions, licenses and disposals.

Compliance and training:

  • Provide compliance advice to the business on data protection, anti-bribery and corruption and other compliance areas relevant to the pharmaceutical industry.
  • Proactively update and train the business partners on new laws affecting them.
  • Assist Head of Legal & Compliance with setting internal governance policies and to manage the impact of external factors.

Legal processes and tools:

  • Develop tools, processes and SOPs to effectively manage legal work and requests for legal work and develop practical checklists for the business to facilitate their work.

CANDIDATE REQUIREMENTS:

  • Professionally qualified in UK / EU
  • Experience in working within a commercial environment and working with external lawyers/consultants.
  • Good grounding in general commercial law.
  • Prior pharmaceutical industry experience is an advantage but not essential.
  • May supervise or manage other staff - general line management experience desirable
