Due to continued growth and to further strengthen its Legal function, SEI is seeking a Legal Counsel to support its Europe, Middle East and Africa (EMEA)operations, where SEI has approximately 50 subsidiaries. The position will be with one of SEI’ssubsidiaries, Sumitomo Electric Finance UK Limited and based in the City of London. The role will report to the Head of Legal – Commercial (EMEA) and entail high levels of responsibility and autonomy.
Main duties and responsibilities
The work involved will be broad-ranging, varied and will include the following:

providing legal support across SEI business divisions (automotive, info-communications, electronics, environment & energy and industrial materials), focused primarily on the automotive and high voltage power cable businesses during the tender, negotiation and contract execution phases, in coordination with business development, commercial and sales teams;
-
drafting, reviewing, commenting on, negotiating and advising SEI and its EMEA subsidiaries on customer contracts, supply contracts and other types of contracts in the automotive and other business sectors (including master supply agreements, framework agreements, nomination agreements, agency agreements, distribution agreements, logistics agreements, consignment stock agreements, one-off supply contracts, letters of intent, leases, NDAs, etc);

drafting, reviewing, commenting on, negotiating and advising SEI on high voltage power cable project agreements, including consortium agreements, EPC Contracts (based on FIDIC, NEC and other standard forms), subcontracts, interface agreements, crossing agreements and review of associated tender documentation (ITTs, deviations tables, parent company guarantees, performance bonds, etc);

supporting the instruction and management of, and collaborating with, external counsel;

assisting SEI and its subsidiaries with contentious matters, dispute resolution and facilitating
settlements, including by drafting, reviewing and commenting on settlement agreements;

supporting the subsidiaries in drafting contractual provisions;

advising SEI and its EMEA subsidiaries on legal requirements;

drafting and managing precedent contracts and contributing to know-how development;

preparing and delivering legal training seminars to SEI subsidiaries;

keeping abreast and alerting SEI and its subsidiaries of relevant legislative developments; and
-
some (around 10%) international travel may be required.
Qualifications / Experience

Fluent English essential;
-
Solicitor of England & Wales or a Common Law Jurisdiction with circa 3 years’ PQE, with
experience of reviewing and drafting commercial contracts;

Motivated, self-starting, organised individual with excellent attention to detail, balanced with
commercial acumen and pragmatism;

Excellent drafting and analytical skills;
-
Solid experience of drafting and reviewing commercial contracts. Knowledge of and interest in
EPC contracts/construction and dispute resolution a plus;

Comfortable with and interested in transactional and contentious matters

Strong desire and capacity to learn

Developed interpersonal, diplomacy skills and cultural awareness

Preferred but not essential:

Experience of automotive component industry/technology sectors and/or high voltage power
cables and/or electricity sector

Knowledge of and interest in EPC Contracts/construction and dispute resolution

Japanese, French, Italian and German language skills are advantageous
