Purpose
The Solicitor is part of the legal team of the Office of General Counsel of Aston Martin Lagonda Limited, accountable for providing legal advice and assistance to underpin delivery of Aston Martin’s Second Century Plan.
Responsibilities
To provide strategic and operational legal advice and assistance, in order to manage and mitigate legal risks within Aston Martin promptly and professionally, while achieving desired business outcomes, including:
- drafting, negotiating and advising on IP rich agreements with partners and suppliers, including collaborations, R&D, assignments, licences, NDAs, sponsorships, introducer arrangements, and marketing/ film/ photography and other goods/service arrangements;
- evaluating associated due diligence;
- ensuring that Aston Martin’s intellectual property rights are protected appropriately and globally through assisting with filing, prosecution, maintenance, defence, enforcement and litigation;
- enabling Aston Martin’s freedom to operate through assisting with trade mark, design and patent clearance searches, analysis and recommendations, ensuring prompt, sound and effective resolutions;
- advising on national and international advertising and marketing campaigns, including assessing compliance with regulatory codes, reviewing competition T&Cs, and providing commercial risk assessments and practical guidance;
- reviewing and amending press statements prior to release;
- advising on other general commercial agreements, including their risks, liability, interpretation, breach and termination;
- developing procedures, templates and guidance to enable business stakeholders to be more self-sufficient on lower risk contracts and processes;
- establishing and implementing other legal strategy, tools, processes and policies in order to mitigate legal risk for Aston Martin;
- procuring and co-ordinating high quality and cost-effective external legal advice where appropriate, seeking added value from Aston Martin’s external legal relationships; and
- keeping up-to-date with external best practice and developments in the law and regulation, in order to maintain up-to-date knowledge and ensure continuous improvement.
Required experience and delivered performance
- Experience of advising on and negotiating use of intellectual property rights, including their protection, ownership, exploitation, defence and enforcement. Ideally, a good working knowledge of patents.
- Experience of drafting and negotiating UK and international agreements, including technology, licensing, consultancy, agency and general commercial agreements, and advising on how to manage associated risks.
- Considerable experience of making risk-based decisions with multiple competing demands. Understanding the balance between commercial mechanisms and contractual mechanisms to manage risk.
- Exceptional commercial awareness.
- Strong drafting, negotiation, planning and organisational skills with a high attention to detail.
- Proven track record of adding value.
- Tenacious, conscientious and hard working. Demonstrated ability to act with good judgment and discretion, including handling sensitive matters appropriately.
- A good knowledge of data protection and competition law for goods/ services agreements.
- Previous experience of the following is an advantage but not necessary: being in an in-house legal department (which could include a secondment), involvement in managing an intellectual property portfolio, advising as part of a patent clearance programme, providing advertising/marketing advice and the automotive and/or luxury sector.
Freedom of Action
- Control of day-to-day operational decisions.
- The role holder will require some direction and benefit from support of the Heads of Legal and will ensure that the Heads of Legal, General Counsel and business stakeholders are kept informed at all times of all legal issues and developments that would materially impact the risk exposure of the business.
- The role holder will operate within and take account of the policies, procedures and guidance given by the Heads of Legal and General Counsel.
Personal Qualifications
- Between 2-6 years post-qualified experience.
- 1st or 2.1 degree and a qualified lawyer in the U.K. or comparable common law jurisdiction.
- Fluent in written and spoken English.
