A UK based and incorporated LSE Premium Listed FTSE 250 company, which represents a large financial group, is looking to appoint a corporate secretary and public reporting officer for its soon to be established and further to be LSE Premium Listed company.
The new company will be a UK based and incorporated holding company, owned by the parent company, to hold the already existing healthcare and health insurances businesses of the group, whose entire business operations are outside the UK.
The successful Company Secretary will have acted in a number 1 or 2 position in an LSE Premium Listed company, preferably FTSE 100 or FTSE 250. It would also be beneficial for the candidate to have pre/ post IPO experience involving the setup of new governance structures.
As the Company Secretary, you will be responsible for the following:
Set up and management (preparation of agendas, collection of files and other distributable materials, informing participants, etc.) of the Board of Directors' and committees' meetings held 4-5 times a year
The recording of minutes and actions, ensuring that they are followed up
Assisting the CEO, Chairmen and committee members, ensuring they are kept up to date with company law and regulations
Maintenance of insider lists and reporting of trades by the directors and other persons discharging managerial responsibilities
Setting up and managing the company's first AGM, making sure that any governance requirements are met and adhered to
Principal reporting/disclosure related responsibilities include assistance with the annual and quarterly reporting (in particular as relates to remuneration committee, audit committee and similar reports)
Assisting the company IR/PR officers with verification of published information and procuring submission of all statutory filings of the company
The successful Company Secretary must have Premium Listed PLC experience. No FSA regulation will be involved.
As the corporate headquarters will be in London, but the operational business will be based outside the UK, the successful candidate must be able to work in an international environment and be open to some travel. The Company Secretary will need to be either a qualified lawyer or Chartered Secretary who is comfortable working at all levels of the business.
