A leading international financial services company.
A lawyer is now sought to support the securities lending business within the EMEA Financial Markets and Treasury Services Legal team, based in London.
The team supports the business lines of securities lending, global collateral management, liquidity services, derivatives 360, depositary receipts, global markets, corporate lending and treasury services.
Such services are provided through a variety of companies of the group.
The work is interesting, intellectually challenging and varied.
The successful candidate will be principally responsible for helping to provide legal advice and support to the international securities lending business (primarily EMEA) and in doing so will assist the head of the securities lending Legal team in implementing a number of substantial projects across the business line.
Day-to-day responsibilities in that regard may include the conducting of client negotiations, drafting, instruction and management of external counsel (both UK and overseas jurisdictions), review of legal opinions and advice, ongoing maintenance and improvement of standard form agreements, assisting in the ongoing development of the Legal Department's know-how generally, and providing advice to the business on regulatory, contractual and other legal issues.
Applicants should have a mix of general company/commercial, custody, capital markets and general banking experience, ideally with a specific focus on securities lending (including a working knowledge of the GMSLA 2000 and 2010 (the latter preferable but not mandatory) and the GMRA for cash repo trading
An understanding of the different types of regulated funds (UK/Irish UCITS, UK OEICs, UK ICVCs and Lux SICAV's, etc) and any legal/regulatory restrictions governing such funds, would be beneficial
A familiarity with collateral management, cash reinvestment and the surrounding regulatory framework (both existing and incoming regulations), including an understanding of regulatory requirements such as the Client Money Rules (CASS) would also be beneficial
Excellent drafting and negotiation skills, together with an ability to handle a broad financial services and commercial caseload
Good communication skills, willingness to cultivate good working relationships with clients and colleagues.
