The Company
Our client is a fast growing (30% revenue growth in 2013) manufacturing business with offices and production plants based in fifty locations around the world. Our client specialises in surgical implants and is also a UK market leader. With a road-map to IPO in the US within the next eighteen-to-twenty-four months, our client is now looking to recruit a business-minded corporate and/or commercial lawyer. This is a very rare opportunity for a lawyer to immerse themselves within a small central hub whilst at the same time dealing with lots of international locations; within both established and emerging markets (e.g. China and Russia).
The position
Reporting directly to the General Counsel, the role involves providing legal and commercial advice across a range of legal and business related matters; advising on full range of contractual issues, including IP, competition, distribution/agency law, employment, liability and jurisdictional. Supporting new contract negotiations for international distribution and direct sales agreements, drafting amendments and extensions. Contract management support to sales leads operating worldwide (other than US) with focus on Europe, Latam and Asia. Advising on transitional arrangements between distributors and terms of exit. Instructing local overseas counsel (as required) and managing external legal advisers in a cost effective manner. Negotiating general commercial contracts on suppliers standard terms. Drafting non-standard agreements as required. Identifying all areas of commercial and legal risk and providing mitigation solutions. Advising on legal disputes/litigation and drafting legal defences to product liability and warranty claims (as required). Managing the trade mark portfolio in conjunction with our client’s external trade mark attorneys. Supporting business development activities (e.g. NDAs, due diligence for M&A activities and business integration). Working closely with General Counsel to ensure compliance and corporate governance across the business. Maintaining standard form documents (NDAs, Distribution Agreement). Providing legal support to other functions in particular regulatory and marketing (as required).
The candidate
Candidates will be at least 3-years’ PQE and have trained in a well-known private practice law firm. In-house experience will be desirable but a solid well-tuned base of legal skills is essential. We are delighted to say our client is open and will consider strong commercial and/or corporate lawyers. The primary drivers for this hire are strong academics, good law firm training and clear ability to work in-house (commercial mind-set). Additionally, the ability to work within a small team in London (a small office servicing the globe) is essential. This is a very rare opportunity to work closely with a General Counsel that previously managed over 20-Lawyers within FTSE 250 business and to do so on a global scale, working closely with emerging market such as China and Russia (truly excellent exposure for a junior-Mid level Counsel).
